Please read these Terms carefully. Apex provides Administrator-directed access controls, monitoring, and workspace tools. The level of enforcement depends on the installed Apex components and how the device and operating system are managed. Apex does not guarantee that every unwanted destination or workaround will be blocked.

1. Agreement and Eligibility

These Terms are an agreement between you and True Anchor LLC governing Apex Browser, Apex Console, extensions, desktop or managed-device builds, and included tools (the Service). By using the Service, you accept these Terms and the Privacy Policy.

You must be at least 18 and authorized to act for every student whose profile you create. If you act for a school or organization, you represent that you can bind it to these Terms. Institutional production use may require a separate written agreement.


2. The Service

Apex provides an Administrator-configured student home, destination allowlists and guardrails, access requests, activity and security-event reporting, messaging, Writer, Calculator, Design, and device/session controls. Features may be experimental, unavailable, or different by release and platform.

Student profiles use Administrator-issued credentials or sessions and are not independent Administrator accounts. We may change, suspend, or discontinue features, but will use reasonable efforts to avoid unnecessary disruption.

An explicit Administrator approval is intended to take precedence over broader Apex guardrails for the approved destination. Approval does not make an external site safe, private, age-appropriate, or compliant, and an external site's redirects or embedded resources may require separate handling.

The web app governs navigation inside Apex. The Chrome extension adds supported enforcement and evidence collection in Chrome, but does not itself lock an operating system, prevent every guest profile, or create true device kiosk mode. Desktop wrappers and managed-device or Apex OS builds can add controls, but their capabilities depend on the operating system, hardware, enrollment, policy, and release.

Alerts are best-effort. Network, browser, notification, email, permissions, battery, account, and provider conditions may delay or prevent delivery. Administrators must not rely on an alert as an emergency or life-safety system.


5. Acceptable Use

You may not use the Service unlawfully; access accounts or systems without authorization; distribute malware or abusive content; impair the Service; misrepresent your authority over a student; evade applicable consent or notice duties; or use monitoring data to harass, discriminate against, exploit, or unlawfully surveil anyone. Security testing requires written authorization and must avoid accessing another user's data or disrupting service.


6. Pilot and Paid Services

Unless a checkout page or signed order states otherwise, access may be offered as an evaluation or pilot without a paid subscription. If we offer a paid plan, the price, included features, billing period, renewal, cancellation, and refund terms shown at purchase or in the applicable order control. We do not charge a recurring fee without affirmative authorization.


7. Content and Intellectual Property

Apex software, branding, and Company-created materials belong to True Anchor LLC or its licensors. Subject to these Terms, we grant you a limited, revocable, non-transferable right to use the Service.

You or the applicable Administrator retain rights in messages, documents, designs, and other content submitted through the Service. You grant us and our service providers a limited license to host, process, reproduce, and display that content only as needed to operate, secure, support, and legally provide the Service. You represent that you have the rights and authority needed to submit it.


8. Privacy and Monitoring

The Service may process student browsing destinations, requests, messages, workspace content, device/session status, copied-text previews, and screenshots or other evidence when an enabled Apex component submits them. Administrators are responsible for using monitoring lawfully and transparently. Details are in the Privacy Policy.


9. Disclaimers and Liability

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” TO THE FULLEST EXTENT PERMITTED BY LAW. We do not promise uninterrupted operation, complete security, complete activity history, instant notification, compatibility with every site or device, or that all inappropriate content, AI access, screenshots, proxies, applications, profiles, or circumvention attempts will be detected or blocked.

To the fullest extent permitted by law, True Anchor LLC and its members, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, opportunity, or harm arising from an external site's content or a user's circumvention. Our aggregate liability arising from the Service will not exceed the greater of the amount you paid us for the Service during the 12 months before the claim or $100. Applicable law may provide rights that cannot be waived.


10. Suspension and Termination

You may stop using the Service at any time and may request account deletion at privacy@apexbrowser.app. We may suspend or terminate access for violations, fraud, security risk, legal requirements, nonpayment under a paid order, or discontinuation of the Service. Data handling after termination follows the Privacy Policy and any applicable written agreement; these Terms do not promise deletion within a fixed number of days.


11. General Terms

Michigan law governs these Terms without regard to conflict-of-law principles. Before filing a claim, contact legal@apexbrowser.app so the parties can attempt informal resolution. Any mandatory consumer rights remain unaffected. If a provision is unenforceable, the remainder stays effective. Failure to enforce a provision is not a waiver.

We may update these Terms. We will post the revised version and update the date above, and will provide additional notice when required. Material changes apply prospectively after the stated effective date.
